Under the terms of the transaction, Epoch shareholders will receive $28.00 in cash for each share of Epoch stock they own, for a total transacton value of approximately $668 million. The investigation concerns whether the Epoch Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this agreement with TD Bank Group. At least one analyst set a price target for Epoch stock at $33.50 per share.
