Under the terms of the proposed transaction, Elliott would acquire the outstanding shares of Compuware it does not currently own for a value of $11 per share; Elliott currenly owns approximately 8% of Compuware's outstanding shares. The transaction has a total approximate value of $2.3 billion. The investigation concerns, among other things, whether the proposed consideration to be paid to Compuware shareholders is unfair, inadequate, and substantially below the fair or inherent value of Compuware. In particular, at least one analyst set a price target for Compuware stock at $12.00 per share.
