Woize International has entered into an agreement with Smart Devices (UK) to acquire the company.
Both parties plan to complete the acquisition on or before April 11, 2008.
The transaction has been approved by the board of directors of both Companies. However, it is subject to satisfactory completion of all due diligence, regulatory approvals and other customary conditions.
Keith Smart, the managing director of Smart said, "We are delighted with the link up with Woize, it will bring financial strength and credibility to Smart and deliver new technologies to us that we will differentiate and broaden our product offering, for a long time Smart has been held back as a private company and we now look forward to sustained growth".
Daniel Savino, Woize's acting Chief Executive Officer also said, "I am very pleased that this transaction has taken place since the potential synergies are obvious at so many levels...." he continued ".... I believe that this transaction will mark the first of several planned initiatives which will result in the re-launch of Woize and provide the foundation for accumulating value in the Company. Smart is a privately held UK based company engaged in the worldwide distribution of ruggedised, portable computer and telecommunications devices to end users through its web site which has an estimated 25,000 users, and through its contacts with major corporate clients in the I.T, Transport, Communications, Public Utilities and Retail sectors.
Woize International Ltd. provides digital communication services, including VoIP, based on proprietary software, as well as offers support for the de facto SIP
standard.
Woize also provides Click-to- Call services for companies and search engines seeking to offer a direct customer relationship, voice to voice.
