Year.
On January 17, 2013, the board of directors (the "Board") of Guidewire Software,
Inc. (the "Company") approved an amendment to Section 4.3 of Article IV of the
Company's Amended and Restated Bylaws to provide that 50% of the members of a
committee of the Board, including the chairperson of such committee, or a
majority of the members of a committee of the Board shall constitute a quorum
for purposes of transacting business at a meeting of such committee. The Amended
and Restated Bylaws of the Company reflecting that amendment became effective
immediately after approval by the Board and are filed with this report as
Exhibit 3.1.
