As previously disclosed in the Current Report on Form 8-K filed by Strategic Hotels & Resorts, Inc. (the "Company") on March 10, 2014 with the Securities and Exchange Commission (the "Initial 8-K"), in connection with the resolution of a proxy contest with Orange Capital LLC and certain of its affiliates, on March 7, 2014, David W. Johnson was appointed to the Company's board of directors (the "Board") effective as of March 7, 2014. On March 27, 2014, Mr. Johnson was appointed to the Board's audit and corporate governance and nominating committees.
