BSM Announces Voting Results from Annual and Special Meeting

("BSM" or the "Company") (TSX-V: GPS), a leading provider of remote monitoring, fleet management, fleet diagnostics and automated vehicle security systems, today announced voting results from its Annual and Special Meeting of Shareholders (the "Meeting") held yesterday in Toronto.



A total of 32,375,705 common shares, representing 69.76% of the Company's issued and outstanding common shares, were voted in connection with the Meeting. BSM shareholders voted in favour of all items of business, including the election of each of the following director nominees: Mr. Frank Maw Mr. Aly Rahemtulla Mr. Pierre Bélanger Mr. Greg Rokos Mr. David Yach The resolutions with respect to (i) the appointment of PricewaterhouseCoopers LLP as the auditors, (ii) the authorization of the directors of the Company to determine the discretionary size of the board of directors of the Company, (iii) the approval of the Company's First Amended and Restated Stock Option Plan, and (iv) the repeal of the Company's previous By-Law No.2A and By-Law No.3 to be replaced in their entirety by the new By-Law No.4, all as further described in the Company management information circular dated April 21, 2014 (the "Circular"), were passed at the Meeting. In addition, the resolutions with respect to the approval of the Company's 2014 Restricted Share Unit Plan and the 2014 Deferred Share Unit Plan, as further described in the Circular, were passed by disinterested BSM shareholders at the Meeting.
