On July 22, 2014, the Board of Directors of StanCorp Financial Group, Inc. ("StanCorp"), upon the recommendation of its Nominating & Corporate Governance Committee, appointed Ranjana B. Clark to the Board of Directors of StanCorp. Ms. Clark's appointment is effective July 22, 2014 and she is expected to be assigned to committees in August 2014. Ms. Clark will receive compensation for her services in accordance with StanCorp's non-employee director compensation program and upon her appointment, she was awarded a right to receive 1,279 shares of StanCorp's common stock in May 2015.
