On July 28, 2014, Dollar Tree announced that it has entered into an agreement to acquire Family Dollar in a merger valued at approximately $8.5 billion. Family Dollar shareholders will own between 12.7% and 15.1% of Dollar Tree's outstandig common stock, and certain insiders who collectively own 16% of Family Dollar's outstanding stock have already agreed to tender their shares. According to Yahoo! Finance, at least one analyst has issued a price target for Family Dollar stock at $79.00 per share.


The firm's investigation seeks to determine, among other things, whether the Company's Board of Directors breached their fiduciary duties by failing to maximize shareholder value before agreeing to enter into the transaction, and whether Dollar Tree is underpaying for Family Dollar shares.
