IHS Inc. Announces Pricing of Senior Notes


ENGLEWOOD, Colo. --(Business Wire)--

IHS (News - Alert) Inc. (NYSE: IHS) today announced the pricing of its offering of $750 million in aggregate principal amount of senior notes due 2022 (the "notes") (which represents an upsizing of $250 million) in a private placement transaction pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. The offering is expected to close on October 28, 2014, subject to customary closing conditions.

The notes will bear interest at a rate of 5.00 percent and will pay interest semi-annually in cash in arrears on May 1 and November 1 of each year, beginning on May 1, 2015. The notes will mature on November 1, 2022.

IHS intends to use the net proceeds from the offering of the notes to, together with cash on hand, repay all amounts outstanding under its existing $250 million unsecured term loan and to repay a portion of the $850 million of outstanding borrowings under its new $1.3 billion senior unsecured revolving facility. Following consummation of the offering of the notes and use of proceeds therefrom, IHS expects to have approximately $1.8 billion of indebtedness outstanding.
