Charter Prices $1.9 Billion Senior Unsecured NotesSTAMFORD, Conn., April 13, 2015 /PRNewswire/ -- Charter Communications, Inc. (NASDAQ: CHTR) (along with its subsidiaries, "Charter") today announced that its subsidiaries, CCO Holdings, LLC and CCO Holdings Capital Corp. (collectively, "CCO Holdings"), has priced $1.9 billion in aggregate principal amount of senior unsecured notes due 2023 and 2025 (the "New Notes"). The 2023 Notes will bear an interest rate of 5.125% per annum and will be issued at a price of 100.0% of the aggregate principal amount of $1,150 million. The 2025 Notes will bear an interest rate of 5.375% per annum and will be issued at a price of 100.0% of the aggregate principal amount of $750 million. Charter intends to use the net proceeds from the sale of the New Notes to finance its previously announced tender offer for any and all of its outstanding $1.0 billion 7.25% Senior Notes due 2017 (the "2017 Notes") at a purchase price equal to $1,040.50 per $1,000 principal amount thereof plus accrued and unpaid interest and $700 million 8.125% Senior Notes due 2020 (together with the 2017 Notes, the "Subject Notes") at a purchase price equal to $1,045.50 per $1,000 principal amount thereof plus accrued and unpaid interest, to pay related fees and expenses and for general corporate purposes. The New Notes were sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
