BancPlus Corporation Completes Private Placement of $60.0 Million of Subordinated Notes


BancPlus Corporation, Ridgeland, Mississippi (the "Company"), parent company of BankPlus (the "Bank"), today announced the completion of a private placement of $60.0 million in aggregate principal amount of fixed-to-floating rate subordinated notes due 2030 (the "Notes"). The Company intends to use the net proceeds of the private placement for general corporate purposes, including improving the Company's liquidity and capital positions.

The Notes will initially bear interest at a rate of 6.000% per annum from and including June 4, 2020, to but excluding June 15, 2025, with interest during this period payable semiannually in arrears. From and including June 15, 2025, to but excluding the maturity date or early redemption date, the interest rate will reset quarterly to an annual floating rate equal to Three-Month Term Secured Overnight Financing Rate ("SOFR") plus 586 basis points, with interest during this period payable quarterly in arrears. The Notes are redeemable by the Company, in whole or in part, on or after June 15, 2025, and at any time upon the occurrence of certain events. The Notes have been structured to qualify as Tier 2 capital for the Company for regulatory capital purposes.

The Notes were assigned an investment grade rating of BBB- by Kroll Bond Rating Agency.

Keefe, Bruyette & Woods, A Stifel Company, served as exclusive placement agent for the private placement. Jones Walker LLP served as legal counsel to the Company, and Latham & Watkins LLP served as legal counsel to the placement agent.
