Under the terms of the transaction, PVFC shareholders will receive 0.3405 shares of F.N.B. common stock for each share of PVFC they own, representing a value of approximately $3.98 per sare, or $106.4 million in the aggregate. The investigation concerns whether the PVFC Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether F.N.B. is underpaying for PVFC shares, thus unlawfully harming PVFC stockholders. In particular, at least one analyst set a price target for PVFC stock at $15.77 per share.
